Company Secretary (Head)

Responsibilities:

  • Reporting to Group Chief Financial Officer.
  • Manage company secretarial compliance work for organization and its group of companies (“Group”) which include preparation of resolutions, maintenance of statutory records and lodgment of requisite statutory returns to the relevant authorities.
  • Manage Board and Shareholders matters such as organizing meetings which include preparing and circulating board papers, reports, minutes, announcements, and follow-up actions based upon the decisions taken by the Board or Shareholders.
  • Advise the Board, Committees and Management on corporate secretarial and corporate governance matters in decision making processes and to disseminate decisions made thereof.
  • Coordinate all matters relating to circular to shareholders, annual report and any other requisite documents relating to any corporate exercise and ensure timely submissions or distributions
  • Liaise with advisors, legal counsel and auditors on all corporate exercises of the Group.
  • Liaise with share registrar on securities information.
  • At any time, Sunsuria can review, at its own discretion, the job roles and responsibilities according to its strategy.

 

Requirements:

  • ICSA qualification and is a Member of MAICSA or a Licensed Secretary.
  • Well versed with the Companies Act 2016, Listing Requirements.
  • At least 15 year(s) of working experience handling corporate secretarial matters, ideally working within a corporate secretarial firm, legal firm or public listed company environment. Preferably with at least 5 years of managerial experience.
  • Proactive, resourceful, meticulous and able to multi-task.
  • Proficient command of written and spoken English and Bahasa Malaysia. Proficiency in spoken and written Mandarin will be an advantage.
  • Possesses a strong sense of responsibility, positive disposition, strong initiative and able to work under strict deadlines.
  • Good writing and communication skills.
